About your role

We are looking for a Corporate Counsel to join Juniper Square with a focus on commercial contracting supporting our sales and go-to-market teams. The successful candidate will partner closely with other department leaders and focus on reviewing and negotiating sales, procurement, and other commercial contracts across the organization. We’re looking for a confident decision-maker with experience negotiating NDAs, SaaS EULAs, DPAs, and Service Agreements. You should have excellent communication skills, be comfortable making decisions independently, and have experience reviewing, analyzing, and negotiating commercial agreements.

What you’ll do

  • Handle general contract inquiries and assist business development/sales teams with general questions regarding contract language, acceptable revisions, etc.

  • Structure, draft and negotiate a broad range of customer-facing agreements, including software and SaaS, partnerships, professional services all while partnering with Deal Desk in the contract process to ensure that contract activities are in full compliance with business, legal, and regulatory requirements.

  • Advise internal clients regarding legal issues, including identifying, managing, and communicating risks and opportunities in commercial transactions.

  • Contract management and other document tracking.

  • Act as a central integration point for various company stakeholders in the contracting process.

  • This role will regularly interact with senior-level sales leaders, executives, and subject matter experts where business decisions impact legal risks.

  • Assist with contract processes in general, including form and playbook development, procedure and policy training, and support of our contract management workflows.

  • Perform other related duties as assigned.

Qualifications

  • J.D. from an accredited law school and admission to a state bar (CA/NY preferred)

  • At least 5-8 years experience at law firms and in-house negotiating complex software or software-as-a-service and professional services contracts involving security, privacy, and IP issues. Experience with financial services or private market transactions is a plus.

  • You know business processes related to commercial contract practices in a sales-led environment. Experience in-house within a company with a quarterly sales cycle preferred.

  • Strong understanding of standard contract language applicable to SaaS transactions and experience negotiating those terms.

  • Ability to communicate effectively, verbally and in writing, and have strong attention to detail.

  • Skilled at explaining complex legal concepts such that non-lawyers can understand them, the issues and associated risks

  • Ability to demonstrate creativity, critical thinking, initiative, and problem-solving skills.

  • Ability to manage multiple work streams and deliverables and coordinate across functional initiatives to meet deadlines.

  • Comfort operating in a fast-moving and fast-changing environment.

Compensation

Compensation for this position includes a base salary, equity, and a variety of benefits. The U.S. base salary range for this role is $167,000 - $210,000. Actual base salaries will be based on candidate-specific factors, including experience, skillset, and location, and local minimum pay requirements as applicable.
